Company History: The Company was incorporated as a Public Limited Company on 11th day of June 2004 under the name and style of SICAL LOGISTICS LIMITED under theprovisions of the Companies Act 1956 in the State of Tamil Nadu with RegistrationNumber U63012TN2004PLC053467 on 11th June 2004. The Certificate forCommencement of Business was obtained on 18th October 2004 and a freshcertificate of incorporation dated 10th February 2006 was obtained in the name ofSicagen India Limited. The main objects clause of the Memorandum of Associationof the Company was altered by substituting the existing sub-clauses 1 to 7 of ClauseIII A by a Special Resolution passed on 06th February 2006 of the shareholders of theCompany. Main Objects 8 - 16 were added to the existing Objects Clause of theMemorandum of Association of the Company by the shareholders of the company attheir meeting held on 15th December 2007 in order to accommodate the businessesthat will be transferred upon approval of the Scheme by the Hon'ble High Court ofMadras. The Honourable High Court of Madras at Chennai vide its order dated 20thDecember 2007 has approved the Scheme of Arrangement between Sical LogisticsLimited and Sicagen India Limited pursuant to which the Trading Services andCoffee Plantation undertakings of the Transferor Company as a going concerntogether with all the assets and liabilities relating to these undertakings is transferredto and vested in the Transferee Company with effect from 01st October 2006. Theaforesaid Order of the Honourable High Court of Madras at Chennai was filed bySical Logistics Limited and Sicagen India Limited with the Registrar of Companies[ROC] on 14th January 2008 which is the Effective Date of the Scheme. TheRegistered Office of the Company was at South India House 73 Armenian Street Chennai :: 600 001and was shifted to Adyar House Chennai :: 600 085 w.e.f. 01stFebruary 2008. |
