Company History: YEAR EVENTS1965 - The Company was Incorporated as a private limited company under the name L.D. Weaving Industries Pvt. Ltd. and took over the business of L.D. Industries. It was converted into a public limited company on 21st August 1980. The name was changed to L.D. Textile Industries Ltd. with effect from 24th October 1980 - The Company was originally started in 1958 as a partnership concern in the name of L.D. Industries by Kalicharan L. Mehra.
- The Company's object is to manufacture synthetic fabrics using polyester and lended yarn knitted fabrics from nylon yarn and synthetic yarn. Suitings and shirtings are sold under the brand name "OBRON".
1977 - The Company had issued and allotted 3000 - 11% redeemable cumulative preference shares of Rs.100 each on 29th December. These preference shares were to be redeemed after seven years from the date of issue out of the profits of the Company.
1979 - Out of 12 000 No. of equity shares of Rs.100 each 6 000 No. of equity shares of Rs.100 each were issued as bonus shares in prop. 1:1 in 1977. 3 000 pref. shares were also issued in 1977. Equity shares subdivided on 28.6.1980. Pref. shares redeemable during 29.12.1984/92.
1980 - 80 000 Bonus equity shares issued in prop. 2:3. 5 39 500 equity shares reserved and allotted to promoters etc. employees and business associates of the Company and 7 10 500 No. of equity shares offered at par for public subscription during December. 1981 - By the end of June 3 960 spindles were installed and commissioned. The balance 8 360 spindles were installed and commissioned by the end of November.
1983 - The Company undertook to instal 10 000 additional spindles. The preliminary work on this expansion was already taken up.
1989 - The Board of Industrial and Financial Reconstruction (BIFR) sanctioned a scheme of rehabilitation thereby directing the financial institutions and banks to provide some financial relief to the Company for improving its working results.
1991 - The Company proposes to increase the number of spindles from 15 952 to 23 280 and this expansion was expected to be completed by September 1992.
- The BIFR declared that the Company is no more as sick company as a consequence of its positive net worth.
1992 - Since the Company had no profits and was not in a position to redeem the said shares on 28th December the last date for redemption it was proposed to issue fresh 5 560 - 11% redeemable cumulative preference shares of Rs.100 each to the preference shareholders inclusive of cumulative dividend due thereon.
1993 - The Company proposes to increase the number of spindles from 28 576 to 43 936.
1994 - During November the Company issued 2 50 000 No. of equity shares of Rs.10 each at a prem. of Rs.110 per share on private placement basis with Kotak Mahindra Finance Ltd.
- Also another 2 00 000 shares were issued at a price of Rs.100 per share to ICICI on private placement basis.
- During December 94 - January 1995 the Company issued 14 50 000 rights equity shares of Rs.10 each for cash at a prem. of Rs.90 per share on rights basis in prop. 1:1 (all were taken up).
- The Company issued 2 00 000 No. of equity shares of Rs.100 each at a prem. of Rs.90 each to ICICI and 2 50 000 shares of Rs.10 each at a prem. of Rs.110 each to Kotak Mahindra Finance Ltd. Also another 7 00 000 warrants were issued to promoters their associates friends and relatives. These warrants entitle the holder to apply for one equity share of Rs.10 at a prem. of Rs.90 per share on 30th April 1996.
1995 - Although volume of turnover had gone up the company has incurred loss due to the steep increase in the prices of raw materials excise duty etc.
- The Company obtained permission to instal 25 000 spindles. The Company however undertook to instal 12 320 spindles in the first phase for the manufacture of synthetic yarn of various counts. For this purpose 65 667 sq. mtrs. of land was acquired on long lease in the GIDC Industrial Estate of Ankleshwar and adequate arrangements were made for the requirement of power and water.
